Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Amavi website, AI companion chat service, character creation tools, Gems wallet and related features (together, the “Service”). “Amavi,” “we,” “us,” and “our” refer to the independently operated digital service made available under the Amavi name.

By creating an account, purchasing Gems or otherwise using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old and legally able to agree to these Terms. The Service is not intended for children or minors.

You are responsible for providing accurate account information, maintaining access to your email and protecting your account. Tell us promptly if you believe your account has been used without permission. You may not sell or transfer your account.

3. AI companion service

Amavi provides fictional conversations and creative roleplay generated or assisted by artificial intelligence. AI characters are software, not human beings, licensed professionals, emergency services or a human dating or matchmaking service.

AI output may be inaccurate, incomplete, unexpected or offensive and may be similar to output generated for another user. Do not rely on it for medical, mental-health, legal, financial, safety-critical or other professional decisions.

Characters, models, memory behavior and available features may change over time. We do not guarantee that a character will always be available, remember particular information or respond in a particular way.

4. Your content and characters

You retain ownership of original content you submit. You must have the rights and permissions needed to submit or publish it and must not violate another person’s intellectual-property, privacy, publicity or other rights.

You grant Amavi a non-exclusive, worldwide and royalty-free license to host, store, reproduce, transmit, format, adapt, moderate and display your content only as needed to operate, support and protect the Service. This license includes a limited right to allow service providers acting for Amavi to perform those functions. Content you choose to publish may also be distributed and used to present or promote that public content within or outside Amavi. Private chat content will not be used in public promotion without your permission.

You may use AI output generated for you for lawful personal purposes, subject to these Terms and any third-party rights. AI output may not be unique, and we do not guarantee that it is accurate, non-infringing or suitable for commercial use.

5. Acceptable use

You may use Amavi for lawful personal entertainment and creative expression. You may not use the Service to:

• Create, request or distribute content that sexually exploits, sexualizes, grooms or endangers a minor.
• Promote non-consensual sexual conduct, trafficking, intimate abuse or sexualized depictions of a real person without the required consent.
• Threaten, harass or dox another person, promote hateful violence, or provide instructions for serious illegal activity, fraud, hacking, terrorism or self-harm.
• Infringe intellectual-property, privacy, publicity or other rights, or upload malware, spam or deceptive commercial material.
• Impersonate a real person in a deceptive or harmful way or use a real person’s identity or likeness without the rights reasonably required.
• Scrape the Service, bypass safety, access, payment or rate limits, reverse engineer protected systems, interfere with the Service or manipulate Gems, rewards or transactions.

6. Moderation and enforcement

We may use automated safety controls and review reports or suspected violations. Publication or availability of content does not mean that Amavi endorses it.

We may restrict visibility, remove content, limit features or suspend or terminate an account when reasonably needed to enforce these Terms, protect the Service or its users, investigate fraud, comply with law or meet the requirements of services used to operate Amavi. Where appropriate, you may contact support about an enforcement decision.

7. Gems, cancellations and refunds

Gems are a limited, personal and revocable entitlement to use eligible digital features within Amavi. They are not money, stored value or cryptocurrency, have no cash value outside the Service and may not be sold, transferred or withdrawn.

Gem packs are optional one-time digital purchases, not subscriptions. The number of Gems, price and currency are shown before purchase. Payments are handled by the payment service shown at checkout, and Gems are credited after payment is completed and verified.

You may leave checkout before payment is completed. Except where required by applicable law or the rules of the payment service, a completed purchase cannot be cancelled after the Gems have been delivered and completed purchases of delivered Gems are final.

Contact support promptly to request review of an unauthorized charge, duplicate charge or completed payment for which the purchased Gems were not delivered. A change of mind, unused Gems or dissatisfaction with an AI-generated reply does not ordinarily qualify for a refund after delivery. Amavi does not charge a fee to submit a refund request, although your payment service or financial institution may apply its own terms. Approved refunds are returned through the original payment service, and processing times may vary.

If a payment is cancelled, reversed, refunded or charged back, we may remove the related Gems or other entitlement. Promotional Gems and referral rewards have no cash value, are subject to the rules shown with the promotion and may be withheld or reversed for fraud or abuse.

8. Amavi and third-party services

The Service, software, interface, branding and Amavi-provided content are owned by Amavi or its licensors. Subject to these Terms, you receive a limited, personal, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.

The Service relies on third parties for functions such as hosting, email, AI inference, images and payments. A third-party service may also be governed by its own terms and privacy practices.

9. Changes and termination

We may add, change, limit, suspend or discontinue features, models, characters, usage limits or integrations. We will provide notice of material changes when required by law.

You may stop using the Service or request account deletion. We may suspend or terminate access for a material or repeated breach of these Terms, fraud, a serious safety risk, legal requirements or discontinuation of the Service.

Except where applicable law requires otherwise, unused Gems are forfeited and are not refundable when you request account deletion or when we terminate your account for a material breach, fraud or payment abuse. If Amavi discontinues the Service for reasons unrelated to your conduct, we will handle remaining entitlements as required by applicable law.

10. Disclaimers and liability

To the fullest extent permitted by law, the Service, AI characters and AI output are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted availability, error-free operation, perfect memory, preservation of content or the accuracy or suitability of AI output.

To the fullest extent permitted by law, Amavi and the people supporting the Service will not be liable for indirect, incidental, special or consequential damages, lost profits, lost data or lost goodwill arising from or related to the Service.

To the fullest extent permitted by law, Amavi’s total liability arising from the Service will not exceed the greater of USD 100 or the amount you paid to Amavi during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.

To the extent permitted by law, you agree to indemnify, defend and hold harmless Amavi and the people supporting the Service from third-party claims, damages, liabilities and reasonable legal costs arising from your unlawful content, infringement of another person’s rights, fraud, payment abuse or material breach of these Terms. We may control the defense of a covered claim, but we will not agree to a settlement that requires you to admit liability or accept a non-monetary obligation without your consent.

11. Updates, disputes and general terms

We may update these Terms when the Service or applicable law changes. We will publish the updated version with a new effective date and provide additional notice when required.

Before starting a formal claim, you and Amavi agree to try in good faith to resolve the issue through the official support address shown below, unless applicable law allows either party to proceed directly. Nothing in these Terms limits rights that cannot lawfully be waived.

These Terms and the Privacy Policy form the entire agreement about your use of the Service, except for additional terms clearly presented for a particular feature or promotion. If part of these Terms is unenforceable, the remaining parts continue in effect. A failure to enforce a provision is not a waiver of it.

You may not assign these Terms without our consent. Amavi may assign them in connection with a reorganization, financing, sale of assets or transfer of the Service, subject to applicable law. Neither party is responsible for delay caused by events reasonably beyond its control.

Provisions that by their nature should continue after account closure or termination—including ownership, licenses needed for retained records, payment obligations, disclaimers, liability limits, indemnity and dispute terms—will continue to the extent permitted by law.
